
Examining the intersection of corporate governance, regulatory adherence, and personal risk for board members under European law is increasingly critical. Evolving EU regulatory frameworks – including the Corporate Sustainability Reporting Directive (CSRD), the AI Act, and data protection mandates – place heightened pressure on corporate obligations. Understanding the expanding scope of directors’ civil and criminal liabilities in instances of non-compliance is essential for maintaining informed stewardship and upholding fiduciary duties. Developing concrete risk mitigation strategies and defining the structural role of the General Counsel are necessary requirements for establishing oversight architecture and accurately advising boards on escalating liability exposures.
